Our Banking & Finance group has both the commercial and legal expertise necessary to help clients in the area of asset management. The asset management practice is primarily divided into two areas. The first area involves the establishment of offshore investment funds and the offer and sale of interests in these funds in the Japanese market by public offering and private placement. The second area involves providing regulatory advice and assistance to clients conducting or wishing to conduct investment management or advisory businesses in Japan.

Representative Experience

  • Advised a Japanese financial services company on the formation of a series of investment funds focused on private equity, debt, distressed assets and real estate investments in Japan.
  • Advised an international financial services company on the initial public offering of company shares in and disclosures for an open-ended investment company with variable capital.
  • Advised multiple international fund managers on the best possible structures to offer and sell shares/units of overseas investment funds in Japan.
  • Advised an international investment fund on the filing of a securities registration statement in connection with the public offering of its shares in Japan.
  • Advised a Japanese financial services company on the establishment of and investment in a new ESCO fund.
  • Provided an international financial institution with Japanese regulatory advice regarding the establishment of two new carbon funds.
